Terms of Service

These Terms are between Nodal Systems, S.L. ("Nodal", "we", "us") and the person or organisation accessing or using the Nodal platform ("Customer", "you").

If you use Nodal on behalf of an organisation, you confirm that you are authorised to act for that organisation in relation to your use of the service.

Nodal is an AI-enabled product-development platform for physical products. It may support work including briefing, research, concept development, validation, visualisation, documentation and related product decisions.

Features may evolve as the product develops. Unless a signed agreement states otherwise, Nodal does not provide a service-level commitment or guarantee that every feature will always remain available in the same form.

You must provide accurate account information and keep access credentials secure. Accounts may only be used by authorised users and must not be shared in a way that bypasses agreed access controls.

You are responsible for activity carried out through your account to the extent permitted by law, except where that activity results from a security failure for which Nodal is responsible.

You retain the rights you hold in the briefs, specifications, files, images, project information, prompts and other materials you submit to Nodal ("Customer Content"). Nodal does not claim ownership of your Customer Content.

You grant Nodal the limited rights necessary to host, copy, process, transform and display Customer Content solely to provide, secure, support and administer the service and as otherwise permitted by an applicable customer agreement.

You are responsible for ensuring that you have the rights and permissions needed to submit Customer Content and that doing so does not unlawfully disclose third-party confidential information or infringe third-party rights.

Nodal does not claim ownership, as against the Customer, of product concepts, analyses, project outputs or other materials generated specifically for the Customer through the service. Any more specific allocation or transfer of intellectual-property rights may be set out in a signed customer agreement.

AI-assisted outputs can be incomplete, inaccurate, non-unique or unsuitable for a particular use. They must be reviewed by appropriately qualified people before being relied on for consequential product, engineering, manufacturing, safety, legal, regulatory or certification decisions.

Nodal is a product-development and decision-support tool. It does not replace engineering sign-off, testing, regulatory assessment, professional legal advice, certification or the Customer's own technical judgement.

Nodal does not use Customer Content to train Nodal-owned foundation models for unrelated purposes unless the Customer expressly agrees otherwise in writing.

Some AI-enabled functions may use third-party technology providers to process information required to perform the requested function. The applicable privacy, security and data-processing arrangements are described in Nodal's Privacy Policy and, where relevant, the Customer's signed agreement or Data Processing Agreement.

You must not use Nodal to:

• break applicable law or infringe another person's rights;
• access or attempt to access another customer's account or data without authorisation;
• interfere with the security, integrity or operation of the service;
• introduce harmful software or use the service to distribute unlawful material;
• reverse engineer or extract proprietary source code except where applicable law expressly permits it; or
• use automated methods in a way that imposes unreasonable load or circumvents technical restrictions.

Nodal and its licensors retain all rights in the Nodal platform, software, interfaces, workflows, brand, documentation and other technology that is not Customer Content or a Customer-specific output. These Terms grant only the limited right to access and use the service during the applicable period of access.

Each party must use reasonable care to protect non-public information received from the other party and use it only for the purpose for which it was provided. Separate confidentiality or NDA terms, where signed, supplement and prevail over this section if they provide greater protection.

Confidentiality obligations do not apply to information that is lawfully public, already known without confidentiality restriction, independently developed, or lawfully received from a third party without confidentiality restriction.

Any fees, subscription period, project scope, payment terms or commercial commitments are those shown in the applicable checkout, proposal, Order Form or signed customer agreement. If none applies, access may be evaluation or invitation based and may be changed or withdrawn by Nodal on reasonable notice.

Nodal may suspend access where reasonably necessary to protect the service or other users, respond to a material breach, comply with law or address a serious security issue. Where practical, we will provide notice and an opportunity to resolve the issue.

Termination, return or deletion of Customer Content is governed by the applicable customer agreement and Nodal's Privacy Policy. Obligations that by their nature should survive termination, including confidentiality, intellectual property and accrued payment obligations, continue to apply.

Nodal may perform maintenance, update features and make reasonable changes to the service. Unless a separate signed agreement states otherwise, the service is provided on an "as available" basis and no specific uptime commitment applies.

To the fullest extent permitted by law, Nodal does not guarantee a particular commercial, engineering, manufacturing or regulatory outcome from use of the service or any AI-assisted output.

Neither party will be liable under these Terms for indirect, incidental, special or consequential losses that were not reasonably foreseeable, except where such exclusion is not permitted by law or a signed customer agreement provides otherwise.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Where a signed customer agreement contains specific warranties, indemnities or liability provisions, those provisions govern instead.

Nodal processes personal data as described in the Privacy Policy. Where Nodal processes personal data on behalf of a business customer, the parties will use an appropriate Data Processing Agreement where required by applicable law.

We may update these Terms as the service or applicable law changes. Where a change materially affects existing users, we will provide reasonable notice through the service, by email or another appropriate channel. The current version and update date will always be available on this page.

These Terms are governed by Spanish law. For business users, disputes will be submitted to the courts of Barcelona, Spain, unless a signed customer agreement or mandatory law requires a different forum.
